1. Agreement to Terms

By purchasing, downloading, installing, or using JustAddVoice (the "Software"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, do not install or use the Software.

2. License Grant & Software Nature

JustAddVoice is proprietary, closed-source commercial software. Subject to your purchase of an Annual Access plan or Lifetime License, we grant you a non-exclusive, non-transferable (except where explicitly allowed by licensing controls), revocable commercial license to install and run the Software on compatible desktop hardware you own or control.

• Annual Access License: Grants you access to the Software, continuous engine upgrades, and standard customer support for a term of one (1) year, renewable annually.
• Lifetime License: Grants you perpetual access to the Software and all future updates and features without recurring subscription fees.
• Seat Allocation: Each purchased license key permits activation on one (1) individual workstation at a time, with the ability to deactivate and transfer to a replacement machine.

3. 100% User Content Ownership

We claim no ownership, copyright, or intellectual property interest in any media, files, text, voiceovers, or videos you import into or generate using the Software.

You retain 100% full commercial ownership of all output videos, synthesized voiceover tracks, transcribed captions, and exported media files. You are free to monetize, distribute, broadcast, publish, and sell your generated content anywhere without royalty obligations or attribution requirements to JustAddVoice.

4. Merchant of Record & Transactions

Our order process and payment collection are conducted by our Merchant of Record, Lemon Squeezy LLC ("Lemon Squeezy"). Lemon Squeezy handles all customer service inquiries, VAT/tax compliance, currency conversions, and payment processing related to software orders.

By purchasing a license, you agree to comply with Lemon Squeezy's Terms of Service and billing policies.

5. Restrictions & Prohibited Uses

You agree that you will not, nor allow any third party to:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software.
• Circumvent, bypass, or tamper with the Software's license verification mechanisms or cryptographic key controls.
• Distribute, lease, sell, sublicense, or share your individual commercial license key with unauthorized third parties.
• Use the Software to generate illegal, defamatory, or harmful content in violation of applicable laws.

6. Third-Party Media APIs (Pexels & Pixabay)

The Software integrates optional search connectors to third-party media libraries (Pexels and Pixabay). When downloading external stock footage via these connectors, you agree to adhere to the respective license terms of Pexels and Pixabay. We do not own third-party stock footage.

7. Warranty Disclaimer & Limitation of Liability

The Software is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable law, JustAddVoice disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

In no event shall JustAddVoice, its developers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Software. Our total cumulative liability shall not exceed the total amount paid by you for the Software in the twelve (12) months preceding the claim.

8. Governing Law & Jurisdiction

These Terms shall be governed by, construed, and enforced in accordance with the laws of the Republic of Ireland, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Software shall be subject to the exclusive jurisdiction of the competent courts of the Republic of Ireland.
